Terms and Conditions

(hereinafter referred to as the “Operator” or “Spaply”)

1. Introduction

  1. These Terms and Conditions (hereinafter referred to as the “Terms”) govern the legal relationship between the Operator and users of the Spaply web and mobile application (hereinafter referred to as the “Application”).
  2. By using the Application, the user (hereinafter referred to as the “User”) agrees to these Terms.
  3. The Application is intended for individuals aged 16 or older.

2. Scope of the Service

  1. Spaply is an online platform that integrates recipes, meal planning, shopping lists, and video recipes into a single digital experience.
  2. The Application allows:
    • regular users to search, save, and plan recipes,
    • recipe creators (hereinafter referred to as “Creators”) to publish their own content, including text, images, and videos,
    • Creators to set up paid profiles (monthly subscriptions) and monetize their content.

3. Registration and User Accounts

  1. Full use of the Application requires registration and account creation.
  2. Users must provide accurate and complete information during registration.
  3. The User is responsible for all activities under their account and for keeping login details secure.
  4. The Operator reserves the right to block or delete accounts that violate these Terms or applicable law.

4. Premium Plan

  1. Spaply can be used free of charge.
  2. Users may upgrade to a Premium Plan, which provides additional features (e.g. advanced meal planning, personalized recommendations, and extended recipe storage).
  3. Prices and the scope of Premium Plan features are specified within the Application and may be updated.
  4. Payments for the Premium Plan are processed securely by Stripe Payments Europe, Ltd.
  5. Subscriptions automatically renew unless cancelled by the User.

5. Content Creators

  1. Any registered user may become a Creator by publishing their own content (recipes, photos, videos).
  2. Creators are responsible for ensuring that their content:
    • is original,
    • does not infringe on copyrights, trademarks, or other third-party rights,
    • complies with applicable laws and does not contain offensive or inappropriate material.
  3. Creators may set up a paid profile with a monthly subscription fee of their choice.
  4. The Operator charges a 10% + VAT commission from each payment made by subscribers to the Creator.
  5. All payments are securely processed via Stripe, which handles the collection and payout of Creator earnings.
  6. The Operator is not responsible for payment delays or processing issues caused by Stripe.
  7. By publishing content, the Creator grants Spaply a non-exclusive license to display, promote, and technically process their content within the Application.

6. Content and Intellectual Property

  1. All content published in the Application remains the property of its respective authors.
  2. Users may not copy, distribute, or otherwise use content from the Application outside of personal use without the Creator’s consent.
  3. The Operator reserves the right to remove any content that violates these Terms, applicable law, or ethical standards.

7. Liability and Warranties

  1. The Operator provides the Application “as is” without any warranties, express or implied.
  2. The Operator is not liable for damages arising from:
    • the use of the Application contrary to these Terms,
    • downtime or unavailability of the service,
    • incorrect or outdated information in recipes or nutritional data.
  3. Spaply is not responsible for any dietary results, allergic reactions, or health issues resulting from the use of recipes.

8. Payment and Billing

  1. All payments are processed through Stripe Payments Europe, Ltd., which ensures secure transaction handling.
  2. The Operator issues invoices in accordance with applicable tax legislation.
  3. All prices include VAT (if applicable).
  4. The Operator may adjust commission rates with 30 days’ prior notice to Creators.

9. Account Termination

  1. Users may delete their account at any time via the Application interface or by written request to the Operator.
  2. The Operator may terminate accounts that violate these Terms, applicable law, or infringe upon the rights of others.
  3. In the event of Creator account termination, outstanding payouts are settled according to Stripe’s policies.

10. Personal Data Protection

  1. The processing of personal data is governed by a separate document titled Privacy Policy, available at www.spaply.com/privacy.

11. Changes to the Terms

  1. The Operator reserves the right to modify these Terms at any time.
  2. Users will be notified of changes at least 14 days before they take effect.
  3. Continued use of the Application after changes take effect constitutes acceptance of the new Terms.

12. Governing Law and Dispute Resolution

  1. These Terms shall be governed by and construed in accordance with the laws of the Czech Republic.
  2. Any disputes shall be resolved by the competent courts of the Czech Republic, based on the Operator’s registered office.
  3. Consumers may use the out-of-court dispute resolution platform operated by the Czech Trade Inspection Authority (www.coi.cz) or the EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr).
